Welcome to the website of the Central City Association of Los Angeles ("CCA," "we," "us," or "our"). By accessing or using our website at www.ccala.org (the "Site"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the Site.

By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site following the posting of any changes constitutes your acceptance of those changes.
2. About CCA
The Central City Association of Los Angeles is a nonprofit business advocacy organization that represents and advances the interests of the Downtown Los Angeles community. The Site provides information about CCA's advocacy initiatives, events, membership programs, research, publications, and related services.
3. Use of the Site
3.1 Permitted Use
You may use the Site for lawful purposes consistent with these Terms. You agree to use the Site only for its intended purpose of accessing information about CCA's programs, events, membership, and advocacy efforts.

The CCA name, CCA logo, "Central City Association of Los Angeles," and all related names, logos, product and service names, designs, and slogans are trademarks of CCA or its affiliates. You may not use such marks without the prior written permission of CCA.
4.3 Limited License
Subject to these Terms, CCA grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial, informational purposes only. This license does not include the right to modify, reproduce, distribute, display, or create derivative works from any Content.
5. User Submissions
5.1 Submissions
If you submit any information, content, or materials to CCA through the Site, including through contact forms, event registrations, membership applications, or email (collectively, "Submissions"), you grant CCA a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, and distribute such Submissions in connection with CCA's mission and operations.
5.2 Responsibility
You are solely responsible for the content of your Submissions. You represent and warrant that you own or otherwise control all rights to your Submissions and that your Submissions do not violate any applicable law or infringe any third party's rights.
6. Membership, Event Registration, and Association Management Platform
Certain features of the Site may allow you to register for events, apply for membership, manage your membership account, renew memberships, or access member-only resources. These services are powered in part by Cannolai, an AI-driven Association Management System ("AMS") that operates natively on the HubSpot platform. Cannolai facilitates membership processing, event registration, automated renewal campaigns, member segmentation, and personalized communications on CCA's behalf.
By using membership or event features on the Site, you acknowledge that your information may be processed through both Cannolai and HubSpot. Cannolai may use artificial intelligence and automated tools to personalize your member experience, send targeted communications, and generate analytics about member engagement. Additional terms and conditions may apply to specific membership categories, events, or programs, and such additional terms are incorporated into these Terms by reference. CCA reserves the right to accept or deny any membership application or event registration at its sole discretion.
7. Third-Party Links
The Site may contain links to third-party websites or services that are not owned or controlled by CCA. CCA has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that CCA shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any content, goods, or services available on or through any such third-party websites.
8. Website Analytics, Tracking Technologies, and AI-Powered Tools
The Site is hosted on and powered in part by HubSpot, a third-party customer relationship management and marketing platform, and Cannolai, an AI-powered Association Management System built natively on the HubSpot platform. Together, HubSpot and Cannolai may use cookies, web beacons, pixels, and similar tracking technologies to collect information about your interactions with the Site.
Cannolai employs artificial intelligence to support features such as member engagement scoring, automated renewal workflows, personalized content recommendations, and behavioral analytics. These AI-driven processes may involve automated decision-making related to the communications and content you receive. No automated decisions are made that produce legal effects or similarly significant impacts on you without human oversight.

9. Disclaimers

12. Governing Law and Dispute Resolution

Any dispute arising out of or relating to these Terms or the Site shall be resolved exclusively in the state or federal courts located in Los Angeles County, California. You consent to the personal jurisdiction and venue of such courts.
13. Termination
CCA reserves the right to suspend or terminate your access to the Site at any time, with or without cause, and with or without notice. All provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
14. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
15. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and CCA with respect to the Site and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and CCA regarding the Site.
